by using the Linkify Service, you acknowledge that you have read, understood, and agree to these Terms and Conditions

1. Acceptance of Terms

Welcome to Linkify, a service provided by Fcode Labs Pte. Ltd. (“Linkify”, “we”, “us”, or “our”). Linkify offers an AI-powered platform to help busy professionals and founders create LinkedIn posts and build their personal brand. By accessing or using Linkify (the “Service”), you (“User” or “you”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you must not use the Service. These Terms form a binding agreement between you and Fcode Labs Pte. Ltd. (registered in Singapore).

Authority and Eligibility: You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a contract. If you are using Linkify on behalf of an organization or company, you represent that you have the authority to bind that entity to these Terms, and in that case “you” refers to that entity as well.
Related Policies: Our Privacy Policy governs how we collect and use your information; by using the Service, you also agree to the Privacy Policy. Together, these Terms and the Privacy Policy constitute the entire agreement regarding your use of Linkify (except as otherwise expressly agreed in writing).
Changes to Terms: Linkify may update or modify these Terms from time to time. If we make material changes, we will notify users by posting the updated Terms on our website or through other communications. It is your responsibility to review the Terms periodically. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. 2. Account Registration and User Responsibilities

To use Linkify’s features, you must create an account with accurate and current information. You agree to the following with respect to account registration and use:

Provide Accurate Information: You must provide truthful, accurate, and complete information during sign-up and keep it updated. Using false identities or information is prohibited. We may suspend or terminate accounts that contain false or invalid details.
One Account, One User: Each Linkify account is meant for a single individual only. You may not share an account with multiple people or allow others to access the Service through your credentials.
Security of Credentials: You are responsible for maintaining the confidentiality of your login credentials. Do not share your password with anyone. If you suspect unauthorized use of your account, notify us immediately. You are liable for all activities conducted through your account, whether or not you authorized them.
Authorized Users for Organizations: If you have an enterprise plan that allows multiple seats or users, each individual must have their own sub-account or login under your organization’s account. You are responsible for ensuring all authorized users comply with these Terms. Any breach by an authorized user will be deemed a breach by the account owner.
Account Use and Conduct: You agree to use your account solely for your own professional networking and personal branding purposes. You will not use the Service to operate a content generation service for third parties without consent, and you will not sell, transfer, or license your account to anyone else. We reserve the right to review, suspend, or terminate your account at any time if we suspect a violation of these Terms or any misuse of the Service.

3. Subscription and Payment Terms

Linkify is offered on a subscription basis with monthly and annual plans. The following terms apply to subscriptions and payments:

3.1 Subscription and Payment Terms

Recurring Billing: By subscribing to a paid Linkify plan, you agree to recurring billing. Subscriptions renew automatically at the end of each billing cycle (whether monthly or yearly) unless canceled in advance. For example, a monthly subscription will renew each month on the same calendar day, and an annual subscription will renew on the yearly anniversary of your purchase.
Billing Authorization: A valid payment method (such as a credit or debit card) is required. Payments are processed via Stripe, our third-party payment processor, for secure handling of your payment information. By providing your payment details, you authorize Linkify (and Stripe on our behalf) to charge your card for the subscription fees on a recurring basis (monthly or annually, depending on your plan). This includes all applicable taxes and fees. You represent that you have the legal right to use the chosen payment method and that the billing information you provide is correct.
Plan Changes: You may upgrade or downgrade your plan through your account settings. If you upgrade, the new rate may be charged pro-rata or immediately depending on our pricing policy. If you downgrade, you may lose access to features of the higher plan at the next renewal.
Free Trials or Free Tier: If Linkify offers a free trial or a free tier (e.g., allowing you to “Start for Free”), such use is subject to these Terms. Free trials are limited to one per user. We reserve the right to prevent abuse of free trials; creating multiple accounts to gain additional free trial periods is a violation of these Terms.

3.2 Cancellation of Subscription

How to Cancel: You can cancel your subscription at any time. Cancellations can be made through your Linkify account settings (under the billing or subscription section) or by contacting our support at hello@getlinkify.com. If you have trouble canceling via the website, please notify us by email so we can assist.
Effective Date of Cancellation: When you cancel, your subscription will not renew at the end of the current paid period. You will retain access to paid features until the current billing cycle ends, but you will not be charged for the next cycle. For example, if you cancel a monthly plan in the middle of a month, you can continue to use the paid features until the end of that month which you’ve already paid for, but it will not renew for the next month.
Avoiding Renewal Charges: To avoid being charged for the next period, cancel at least before your next billing date. If you cancel on or after a renewal date when a charge has already been processed, that charge will not be automatically refunded (see Refunds below for our policy on requesting refunds). We do not prorate or credit unused time in your billing cycle upon cancellation, except at our discretion as described in the Refunds section.
Our Right to Cancel: We reserve the right to suspend or terminate your subscription (or the entire Service) at any time for any reason, including breach of these Terms or discontinuation of the Service. If we discontinue the Service entirely or cancel your subscription without cause in the middle of a paid term, we will provide a pro-rata refund for the remaining unused period of your subscription.

3.3 Payments and Pricing

Pricing Changes: Our subscription fees may change over time. Linkify may modify the pricing for any subsequent subscription term (for example, adjusting the monthly/yearly rate at renewal) at its discretion.. If we do, we will give you reasonable advance notice (such as by email or in-service notification) before your next billing cycle. If you do not agree to the new price, you should cancel your subscription before the new rate takes effect. Continuing to use the Service after the price change constitutes acceptance of the new pricing.
Taxes: Subscription fees are generally listed exclusive of any taxes (unless otherwise indicated). You are responsible for any sales, VAT, GST, or similar taxes that apply to your use of the Service. These may be charged and remitted by us where required by law.
Failed Charges: If an automatic payment fails (for example, due to an expired or declined card), we may attempt to re-charge your payment method. If payment remains unsuccessful, we may notify you and suspend your account for non-payment. You agree to promptly update your payment information if it changes to avoid interruption of service. We may also issue an electronic invoice for manual payment if automatic billing fails.

3.4 Refund Policy

No Automatic Refunds: Payments are generally non-refundable. Cancelling your subscription stops future billing but does not automatically refund the current term. We do not automatically issue refunds for any unused portion of a subscription term once payment has been made.
Requesting a Refund: If you believe you have a special case that warrants a refund (e.g., you were just charged and did not intend to renew, or you are dissatisfied with the Service), you must contact us at hello@getlinkify.com to request a refund. Refunds are handled case-by-case at our discretion. We may ask for feedback to understand the reason. For a paid subscription recently started or renewed, as a courtesy we will consider refund requests made within a reasonable short period after the charge (for example, within 7 days of the charge). We believe this is ample time to evaluate the Service at the start of a billing cycle. Requests received beyond such period may not be honored, especially for recurring monthly charges.
Conditions for Refunds: We reserve the right to approve or deny any refund request. Generally, we will not grant refunds if you have heavily used the Service during the period in question or for change-of-mind beyond the initial trial period. Our policy may allow a one-time refund for an annual plan if a request is made shortly after renewal (e.g., within the first 1–2 weeks of the new term, at our discretion). Beyond these goodwill gestures, all sales are final.
How Refunds Are Issued: If a refund is granted, it will be credited back to the original payment method via Stripe. Please allow a reasonable time for the credit to appear, subject to Stripe or your bank’s processing times.
Chargebacks: We urge you to contact us with any billing issues to seek resolution. If you dispute a charge directly with your bank (chargeback) without contacting us first, we reserve the right to terminate your account for misuse of the payment process. Fraudulent chargebacks will be contested.

4. Fair Use and Prohibited Conduct

We want all users to benefit from Linkify’s AI and tools. To protect the integrity and availability of the Service, you agree to use Linkify in a fair and reasonable manner. Any misuse of the Service or violation of these conduct rules can result in suspension or termination of your account. In using Linkify, you agree NOT to:

Exceed Reasonable Usage: Abuse the Service’s AI generation or other features in a manner that is excessive or not intended for normal personal use. This means you will not employ scripts, bots, or automated methods to send an unnaturally high volume of requests to our Service, such as generating or exporting content far beyond what a human user could reasonably produce. We may implement fair use limits (e.g., on the number of AI-generated posts per day or similar) and you agree to respect those limits. Attempts to circumvent these limits by creating multiple accounts or other means are strictly prohibited.
Share or Resell the Service: You will not share your account with others (see Section 2) or resell, rent, or sublicense the Service to third parties. Using the output of Linkify to directly compete with our Service or to run a content generation business without authorization is not allowed.
Engage in Illegal or Harmful Conduct: Use the Service for any unlawful purpose or in furtherance of illegal activities. This includes not posting or generating any content via Linkify that is defamatory, harassing, threatening, or that promotes violence, discrimination, or any illegal activity. You may not use Linkify to exploit or harm minors in any way, or to engage in any form of stalking, doxing, or harassment of any individual.
Violate Others’ Rights: Post or generate content that infringes upon the intellectual property rights or privacy/publicity rights of others. You must not use Linkify to plagiarize content or to generate content that you do not have the rights to use. You represent and warrant that any text or material you input into Linkify (prompts, profiles, etc.) and any content you choose to publish from Linkify’s outputs will not violate any copyright, trademark, trade secret, contract, or other rights of any person.
Impersonate or Misrepresent: You may not impersonate any person or entity or misrepresent your identity or affiliation. Creating or using fake LinkedIn profiles or identities in conjunction with Linkify is strictly forbidden. You must use LinkedIn and Linkify with your real identity and professional profile. Likewise, do not imply that Linkify’s content is endorsed or approved by any third party when it is not.
Spam or Unwanted Solicitations: Do not use Linkify to send spam or unsolicited mass communications. For instance, you should not use our content generation to bombard LinkedIn (or other platforms) with repetitive or irrelevant posts, messages, or comments, or to facilitate “junk mail,” “chain letters,” or pyramid schemes. The Service should be used to post meaningful content and engage authentically, not to automate spammy behavior.
Interfere with the Service or Others: You will not interfere with or disrupt the operation of Linkify. This includes not attempting to disable, overburden, or impair our Service or servers (e.g., via a denial-of-service attack). You agree not to introduce any malicious code such as viruses, worms, or Trojan horses into the platform. Also, do not attempt to bypass any security or access controls of the Service, and do not probe or hack our systems. Any such attempts are strictly prohibited and may be unlawful.
Automate LinkedIn Prohibited Actions: Linkify is designed to help you streamline your LinkedIn activity within the bounds of LinkedIn’s own rules. You must comply with LinkedIn’s User Agreement and policies when using our Service. This means you should not use Linkify in a manner that violates LinkedIn’s terms – for example, automating connection requests, messaging, or other actions on LinkedIn in a way that LinkedIn prohibits. If you use Linkify to interact with LinkedIn’s platform, do so responsibly and in moderation. Any use of the Service that leads to a violation of LinkedIn’s terms is at your own risk; Linkify is not responsible for any consequences (such as your LinkedIn account being restricted or banned) due to misuse. We also reserve the right to terminate or suspend your Linkify account if we find that you are using it to violate third-party platform rules, to protect our platform and other users.
Consequences: If you engage in any of the prohibited conduct above or otherwise violate these Terms, we may take action including warning you, suspending your access, or terminating your account without a refund. Serious violations (such as illegal activity) may result in immediate termination and potential reporting to law enforcement if applicable. You understand that Linkify has the right (but not the obligation) to monitor your use of the Service to enforce these Terms. We may remove or disable access to any content or usage that violates these rules at our sole discretion.

5. Intellectual Property Rights

This section explains what we own, what you own, and how content and intellectual property are handled on Linkify:

5.1 Our Intellectual Property

All rights, title, and interest in and to the Service and its components, including but not limited to the software, algorithms, AI models, website design, logos, trademarks, service marks, brand names “Linkify,” and all content provided by us (collectively, “Linkify Property”), are owned by Fcode Labs Pte. Ltd. or our licensors. The Service (including any copies or derivative works) is protected by intellectual property laws. We only grant you a limited, revocable, non-transferable, non-sublicensable license to access and use the Service for its intended purpose, subject to your compliance with these Terms. This means you may use Linkify for your personal or internal business use, but you do not acquire any ownership rights in our software or content by using the Service. You must not copy, distribute, modify, reverse engineer, or create derivative works from our software or any of our intellectual property, except as allowed by law or with our explicit written permission.

5.2 Your Content and Data

In the course of using Linkify, you may input or upload content such as your profile information, post ideas, text, images, or other materials (“User Content”). You retain ownership of all your User Content. We do not claim any ownership over the content that you create or provide through the Service. However, by using Linkify, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify (e.g. reformat), and process your User Content solely for the purpose of operating and improving the Service. This license allows us to, for example, feed your input text into our AI to generate LinkedIn posts for you, to display your content back to you, and to analyze usage to refine our algorithms. We will handle your personal data in accordance with our Privacy Policy.

You are responsible for ensuring you have the rights to any content you provide to Linkify. By providing User Content, you represent and warrant that you either own or have necessary permissions to use and submit that content, and that our use of such content for providing the Service will not infringe or violate any third-party rights. Please do not input confidential or sensitive information that you do not wish to be processed by our AI or stored on our systems.

5.3 Generated Content (AI Outputs)

One of Linkify’s core features is generating content (such as LinkedIn post drafts, captions, or engagement suggestions) using artificial intelligence (“AI”) based on the prompts and information you provide (“Generated Content”). Ownership of Outputs: To the extent permitted by applicable law, we give you rights to use the AI-generated outputs for any lawful purpose. This means once the Service generates text or content for you, you may copy, edit, and publish it (for example, post it on your LinkedIn profile) as you see fit. We do not claim copyright or ownership in the individual pieces of content generated specifically for you. However, note that the AI may produce similar outputs for different users who input similar prompts; we do not warrant that the content is unique to you.

Your Responsibilities for Generated Content: You are fully responsible for how you use the AI-generated content. We do not guarantee that outputs will be perfect, correct, or free of third-party material. While the AI is designed to create original content, it operates by learning from patterns in existing data, and there is a non-zero chance it could produce text that coincidentally matches or resembles existing works. You should review all Generated Content before you use or publish it. Make sure it aligns with your voice and does not contain anything inappropriate or any sensitive information you didn’t intend to share. You must ensure that any content you choose to publish (AI-generated or not) does not violate any laws or rights. If you use the AI to produce content that is inappropriate or unlawful (even inadvertently), you are responsible for the outcome. For example, if the AI were to generate content that is defamatory or infringes someone’s copyright and you decide to publish it, you could be liable for that publication. Use the outputs responsibly and when in doubt, modify them.

Our Use of Generated Content: We will not claim ownership of the posts or content you actually create and publish using Linkify. However, we may store the prompts and outputs on our servers and may review them to improve our algorithms or for support (for instance, to debug an issue or enhance the AI’s performance). Any such use will be in accordance with our Privacy Policy and aimed at improving the Service. We will not share your personal-generated posts with other users or the public in a manner that identifies you, without your permission.

5.4 Feedback

If you provide us with any suggestions, ideas, enhancement requests, recommendations, or other feedback regarding Linkify (“Feedback”), we appreciate it! You agree that any Feedback is given voluntarily and we are free to use it. However we see fit, without any obligation or compensation to you. For example, we may implement suggestions you offer to improve Linkify, and you will not have ownership or payment rights in any improvements made based on your feedback.

5.5 Third-Party Content and Integration

Linkify may contain links or integrations to third-party websites or services (for example, connecting your LinkedIn account or using third-party analytics). We do not own any third-party content that you access through our Service. Third-party trademarks or service names (like “LinkedIn”) remain the property of their respective owners — using those names in our Terms or Service is for reference (e.g., indicating compatibility or intended use) and does not imply endorsement by or affiliation with those third parties.

Please note that when you connect Linkify to LinkedIn or any other third-party platform, you are also bound by those platforms’ terms of use. We are not responsible for content or actions on third-party services, even if accessed via Linkify. For example, if LinkedIn’s API or platform imposes certain limits or rules (such as rate limits or content standards), you must abide by them, and we are not liable for any restriction or action taken by LinkedIn related to your use.

6. Disclaimers of Warranties

Linkify is provided “AS IS” and “AS AVAILABLE.” While we strive to offer the best possible service, we make no warranties or guarantees about the Service. To the maximum extent permitted by law, Linkify and its suppliers disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement.

In particular, we do not guarantee that:

Results: The Service will meet your specific requirements or achieve any particular results. (For example, we do not promise that using Linkify will guarantee you more LinkedIn leads or followers — outcomes depend on many factors outside our control.)
Availability: The Service will be uninterrupted, timely, secure, or error-free at all times. There may be occasional downtime for maintenance or factors outside our control (like internet issues or third-party outages).
Content Accuracy: Any content (including AI-generated content, analytics, or recommendations) obtained through Linkify will be accurate, reliable, or complete. The AI may occasionally produce incorrect or nonsensical suggestions; you should use your judgment before relying on any output.
No Harm: Using the Service will not pose any risk to your LinkedIn account status. We cannot guarantee that LinkedIn or other platforms will allow all actions or content produced via Linkify. We are not liable for any penalties or account actions from third parties (like LinkedIn, Meta, Substack, X, Reddit) due to your use of the Service.
Data Integrity: While we take precautions to protect data, we do not warrant that any data or content you store in Linkify (like saved posts or account data) will never be lost or corrupted. You should keep backup copies of important content as needed.

You understand and agree that use of the Service is at your own risk. Any material or content obtained through Linkify is provided without any warranty and you will be solely responsible for any damage or loss that results from using it. If applicable law does not allow the exclusion of certain warranties, then we provide the minimum warranty required by law.

7. Limitation of Liability

To the extent permitted by law, Fcode Labs Pte. Ltd. (and its officers, directors, employees, agents, and affiliates) shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of Linkify or these Terms.This includes, without limitation, damages for lost profits or revenue, loss of opportunities or business, loss of data, cover or substitute goods or services, or other intangible losses, even if we have been advised of the possibility of such damagescopy.ai.

In particular, we will not be liable for:

LinkedIn or Third-Party Actions: any suspension, termination, or other action taken by LinkedIn or another platform against you due to your use of Linkify (e.g., if your LinkedIn account is restricted) – you assume full responsibility for complying with third-party rules (as stated) and for the outcomes if you do not.
User Content or Decisions: any user-generated content (including AI outputs you choose to use) – you are responsible for the content you create with our Service and any consequences thereof;
Service Interruptions or Errors: any downtime, loss of data, or failure of the Service to function as expected;
Security Breaches: unauthorized access to or use of our servers and/or any personal information stored therein, unless caused by our failure to implement reasonable security measures.

Maximum Liability: Under no circumstances will our total cumulative liability for all claims arising from or related to the Service and these Terms exceed the amount you have paid to Linkify in subscription fees in the 12 months immediately preceding the event giving rise to the liability. If you have not paid Linkify (for example, if you are on a free plan), our total liability shall not exceed US $100 (or equivalent in local currency) as an absolute cap. This limitation applies collectively to us, our subsidiaries, affiliates, and suppliers.

Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities. In such cases, the above limitations shall apply to the fullest extent permitted by applicable law. Nothing in these Terms is intended to limit liability more than what is permissible by law; for example, liability for personal injury or fraud caused by our negligence would not be excluded if required by law.

You acknowledge that the allocation of risk and the limitations of liability in these Terms are an essential basis for the bargain between you and us – without them, the fees charged would likely be higher or the Service unavailable.

8. Governing Law and Dispute Resolution

Governing Law: These Terms and your use of the Service are governed by the laws of Singapore, without regard to its conflict of law principles. This means that the laws of Singapore will apply to any disputes related to these Terms or the Service. If you are a consumer in a different country, you may also have certain protected rights or remedies under the laws of your jurisdiction, which these Terms do not override.

Jurisdiction: You agree that any dispute or claim arising out of or in connection with these Terms or your use of Linkify that cannot be resolved amicably shall be brought exclusively in the courts of Singapore, and you consent to the personal jurisdiction of those courts. We each waive any objection to the venue or jurisdiction of those courts, except that we both retain the right to seek injunctive relief (such as an order to protect intellectual property or confidential information) in any appropriate jurisdiction.

Dispute Resolution: Before filing any formal legal action, we encourage you to contact us to discuss the issue. Often issues can be resolved quickly through our support channels. If a dispute arises, we will act in good faith to negotiate a resolution. In the event of litigation, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs from the other party, to the extent allowed by law.

Note: If you are using the Service as a consumer (not for business purposes) in a jurisdiction that mandates different dispute resolution or venue (for example, your local consumer protection laws require disputes to be resolved in your country), those laws may override this section. Otherwise, this section applies.

9. Modifications to the Service

Linkify is an evolving service. We reserve the right to modify, update, suspend, or discontinue any aspect of the Service at any time, with or without notice. For example, we may add or remove features, implement new AI models, or retire parts of the Service that are outdated. We are not liable to you or any third party for any such modifications or for any decision to suspend or end the Service or any feature of it.

If you are on a paid plan and a modification materially reduces core functionality you’ve paid for, we may, at our discretion, provide a pro-rata refund or adjust your subscription. We will try to inform users (via email or in-app notice) of major changes that could significantly impact usage. It is your responsibility to stay informed of any announcements regarding changes.

Please understand that any new features or enhancements introduced will also be subject to these Terms (unless they come with separate specific terms). Continued use of the Service after changes are introduced constitutes acceptance of those changes.

10. Termination

Both you and Linkify have the right to terminate this agreement at any time.

Your Right to Terminate: You may stop using the Service and/or cancel your account at any time. (See Section 3.2 on how cancellation works for subscriptions.) If you simply stop using Linkify or uninstall any related applications, these Terms will still be in effect until you formally cancel your subscription or we terminate your account.
Our Right to Terminate or Suspend: We may terminate or suspend your access to the Service (or any part of it), with or without notice, if you breach any of these Terms or if we determine such action is reasonably necessary to prevent harm, fraud, or misuse. We may also terminate the Service or your account if required by law (for example, if providing the Service becomes unlawful in your region) or if we decide to discontinue the Service. In cases of minor violations, we will try to provide you with a warning and an opportunity to correct the issue, but for serious or repeated violations, suspension or termination may be immediate.
Effect of Termination: Upon termination of your account, your right to use the Service will cease. We may immediately deactivate or delete your account and all associated data. We are not obligated to maintain or forward any content in your account, except as required by law. It is your responsibility to back up any content you wish to retain before terminating the Service or your account. Sections of these Terms which by their nature should survive termination (such as intellectual property rights, disclaimers, limitations of liability, governing law, etc.) will survive. If your account was terminated due to a breach of Terms, you are not entitled to any refund of fees already paid, and you may not re-register for the Service without our permission.

11. Miscellaneous Provisions

No Waiver: Our failure to enforce any part of these Terms is not a waiver of our right to later enforce that or any other part of the Terms. Any waiver of compliance in a particular instance must be in a written notice from us to be effective.
Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be interpreted to fulfill its intended purpose to the greatest extent permitted by law, and the remaining provisions will continue in full force and effect.
Assignment: You may not assign or transfer this agreement (or any rights or obligations under these Terms) to anyone else without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
Entire Agreement: These Terms (along with any other policies or terms expressly referenced herein, such as our Privacy Policy) constitute the entire agreement between you and Linkify regarding the Service, and supersede all prior agreements, proposals, or understandings, whether written or oral, relating to its subject matter sightreadingfactory.com. You acknowledge that you have not relied on any representation, warranty, or statement not expressly set out in these Terms.
No Third-Party Beneficiaries: These Terms create no third-party beneficiary rights.
Relationship of Parties: You and we are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between us. You have no authority to make or accept any offers or representations on our behalf.
